Deutschland hat den Schuldschein, der neben Verbriefungen ein wesentliches Bindeglied zwischen Bankfinanzierung und Kapitalmarkt darstellt. Etwas Ähnliches auf europäischer Ebene fehlte bislang. Jetzt kommt langsam Bewegung in das Thema. Von der europäischen Arbeitsgruppe für Privatplatzierungen (Euro Private Placement – Euro PP Working Group) wurde bereits im Januar ein entsprechender standardisierter Kreditvertrag für derartige Privatplatzierungen vorgelegt. Zu ihnen heißt es auf der Webseite der working group: “The Euro PP model agreements cover the entirety of the Euro PP market, whether in the form of loans or notes, while preserving the particularities of each segment. Completing the Euro PP Charter, which was published in 2014 and establishes a frame of reference for the market, these agreements provide a standard for the market. Nevertheless, market participants’ attention is drawn to the fact that the contractual terms are intended to be adapted as part of the Euro PP negotiations, based on the profile of the borrower/issuer, characteristics of the transaction and market conditions. The Euro PP model agreements were developed collectively, with active representation by all industry participants (borrowers/issuers, investors, intermediaries).”
Ebenso wurde auf Ebene der ICMA (International Capital Market Association) eine PEPP Working Group eingerichtet zur weiteren Standardisierung der Dokumente. Dazu heißt es auf der Webseite von ICMA:
“The PEPP Working Group is an umbrella European initiative led by ICMA that also currently includes the Association for Financial Markets in Europe (AFME), the European Private Placement Association (EU PPA), the French Euro Private Placement (Euro PP) Working Group, the Loan Market Association (LMA), TheCityUK and The Investment Association.”
