The EBA published a consultation paper on Guidelines for STS criteria for synthetic securitisations on April 21, 2023. The guidelines are intended to provide a uniform interpretation of the STS criteria for so-called on-balance sheet transactions.
First Findings
The guidelines are essentially based on the already published guidelines for non-ABCP and ABCP transactions with identical STS criteria. Furthermore, the EBA also proposes to adapt some points of the existing guidelines, including the “one-payment-made” and “risk retention” criteria. In principle, this is to be welcomed, as inaccuracies regarding the interpretation of these points have already been addressed to the EBA by the TSI together with the SVI. In addition, the interpretation of specific criteria for synthetic securitizations, e.g. with regard to credit protection or the synthetic excess spread, has to be specified.
We will analyze the contents and proposed adjustments of the consultation paper in detail and report in more detail in due course.

The consultation period on the Guidelines for STS Criteria for Synthetic Securitizations is now open until July 7, 2023.
Meanwhile, EBA invites you to a Public Hearing. The date for this is May 30, 2023, 2:30 – 3:30 pm. Deadline for registration is May 23, 2023, 4 p.m. TSI will closely follow the consultation and prepare a statement together with its stakeholders.
